Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of TalentSift's resume screening platform ("Service"), operated by TalentSift, Inc. ("Company," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. Service Description

TalentSift provides an AI-powered resume screening platform that:

• Analyzes job descriptions to extract requirements
• Processes candidate resumes (PDF, Word, images)
• Matches candidates against job requirements using AI
• Generates ranked reports with match scores and insights
• Delivers results in Excel format

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice.

2. Account Registration

2.1 Account Creation: To use certain features, you must create an account by providing accurate and complete information.

2.2 Account Security: You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access
• Using strong passwords and enabling multi-factor authentication

2.3 Age Requirement: You must be at least 16 years old to use the Service.

2.4 Business Use: The Service is intended for legitimate business purposes only.

3. Acceptable Use

You agree to use the Service only for lawful purposes. You may NOT:

• ❌ Upload resumes without proper authorization or consent
• ❌ Use the Service for discriminatory hiring practices
• ❌ Attempt to reverse engineer, decompile, or extract our AI models
• ❌ Scrape, harvest, or collect data from the Service
• ❌ Upload malware, viruses, or malicious code
• ❌ Interfere with or disrupt the Service or servers
• ❌ Access the Service through automated means (bots) without permission
• ❌ Resell or redistribute the Service without authorization
• ❌ Use the Service to violate privacy laws or regulations
• ❌ Upload illegal, harmful, or infringing content

Violation of these terms may result in immediate account termination and legal action.

4. Intellectual Property

4.1 Our Intellectual Property: The Service, including all software, designs, algorithms, AI models, text, graphics, and trademarks, is owned by TalentSift and protected by copyright, trademark, and other intellectual property laws.

4.2 Your Content: You retain ownership of all content you upload (job descriptions and resumes). By uploading content, you grant us a limited license to process, store, and analyze it solely to provide the Service.

4.3 License Grant: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes in accordance with these Terms.

4.4 Feedback: Any feedback, suggestions, or ideas you provide about the Service become our property, and we may use them without compensation to you.

5. Data & Privacy

5.1 Data Processing: We process your data as described in our Privacy Policy. By using the Service, you consent to such processing.

5.2 Your Responsibilities: You represent and warrant that:

• You have obtained all necessary consents to upload candidate resumes
• Your use of the Service complies with all applicable privacy laws (GDPR, CCPA, etc.)
• You have informed candidates that their resumes may be processed by AI
• You will not upload sensitive personal data (race, religion, health) unless necessary

5.3 Data Retention: Uploaded files are automatically deleted 7 days after processing. You can delete data earlier from your account settings.

6. Payment & Billing

6.1 Pricing: Current pricing is available at talentsift.co/pricing. We reserve the right to change pricing with 30 days' notice.

6.2 Free Trial: We may offer a free trial. Credit card may be required. You will be charged after the trial unless you cancel.

6.3 Billing: Subscription fees are billed in advance on a recurring basis (monthly or annual). All fees are non-refundable except as required by law.

6.4 Payment Method: You must provide valid payment information. You authorize us to charge your payment method for all fees incurred.

6.5 Overages: Exceeding your plan limits may result in additional charges or service suspension.

6.6 Taxes: Fees are exclusive of taxes. You are responsible for applicable taxes.

7. Cancellation & Termination

7.1 Your Rights: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period.

7.2 Our Rights: We may suspend or terminate your account if you:

• Violate these Terms
• Fail to pay fees
• Use the Service fraudulently or illegally
• Pose a security risk

7.3 Effect of Termination: Upon termination:

• Your access to the Service will cease immediately
• All data will be deleted according to our retention policy
• You remain liable for fees incurred before termination
• Sections of these Terms that should survive will remain in effect

8. Disclaimers & Warranties

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• Results will be accurate, complete, or reliable
• AI analysis will be free from bias or errors
• Defects will be corrected
• The Service meets your specific requirements

AI Limitations: Our AI provides suggestions and analysis to assist your hiring decisions. You are solely responsible for final hiring decisions. AI may have biases or inaccuracies. You should review and validate all results.

Compliance: You are responsible for ensuring your use of the Service complies with all applicable laws, including employment and anti-discrimination laws.

9. Limitation of Liability

Our total liability to you for all claims arising from or related to the Service shall not exceed the greater of:

• (a) The amount you paid us in the 12 months before the claim arose, or
• (b) $100 USD

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, these limitations apply to the maximum extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless TalentSift, its affiliates, and their respective officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content and data uploaded to the Service
• Your hiring decisions based on Service results

11. Dispute Resolution

11.1 Informal Resolution: Before filing a claim, you agree to contact us at legal@talentsift.co to attempt to resolve the dispute informally for at least 30 days.

11.2 Governing Law: These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles.

11.3 Arbitration: Any dispute arising from these Terms shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association, except as prohibited by law.

11.4 Class Action Waiver: You agree to bring claims only in your individual capacity and not as part of a class action or representative proceeding.

12. General Provisions

12.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and TalentSift.

12.2 Modifications: We may modify these Terms at any time. Material changes will be notified via email or in-app notice. Continued use after changes constitutes acceptance.

12.3 Severability: If any provision is found unenforceable, it will be modified to reflect the parties' intention, and other provisions remain in effect.

12.4 Waiver: Our failure to enforce any right or provision does not constitute a waiver.

12.5 Assignment: You may not assign these Terms without our consent. We may assign without restriction.

12.6 Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
